UPIE, its parent, subsidiaries and its affiliated companies (together "Universal") maintain this site (the "Site") in order to facilitate access by approved users to Universal marketing resources and materials (the "Materials").

- 8.You agree to indemnify, defend and hold Universal and its parent, subsidiaries, affiliates, and their respective officers, directors, owners, agents, information providers and licensors (collectively, the "Indemnified Parties") harmless from and against any and all claims, liability, losses (including loss of profits and/or reputation) costs and expenses (including attorneys' fees) incurred by any Indemnified Party in connection with any breach by you of these Terms. You may not settle any claim that may affect any Indemnified Party without that party's prior written consent. Universal reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, and in such case, you agree to co-operate with Universal's defence of such claim.

Unless you have been granted specific authorisation for a particular location or country, Universal makes no representation that the Materials on the Site are appropriate or available for use in other locations and other countries.
